ARTICLES OF AGREEMENT
Article 3
The following Contract
Documents (in order of priority) shall be deemed to form and be read and
construed as part of the Contract:-

The Articles of Agreement;
2.
The Letter of Award;
3.
The Conditions;
4.
The Addenda Nos:

5.
The Drawings;
6.
The Specifications;
7.
The Schedule of Works or Bills of Quantities (if
Option Module A applies); and
8.
Other documents (if any) stated below:

4.1 Contract Documents to
be Mutually Explanatory
The several documents forming the Contract are to be taken as mutualy explanatory of one another but in the event of any conflict or inconsistency between the documents forming the Contract , the priority shall be as follows:
(a)
The Articles of Agreement;
(b)
The Letter of Award;
(c)
The Conditions;
(d)
The Addenda listed in Article 3 of the Articles of
Agreement;
(e)
The Drawings;
(f)
The Specifications;
(g)
The Bills of Quantities or Schedule of Works
(whichever is applicable);
(h)
Other documents listed in Article 3 of the Articles
of Agreement.
4.2 Custody of Contract Documents
The original Contract Documents shall remain in the custody of the Employer and shall be produced as and when required by the Contractor. Immediately upon the execution of the Contract, a duplicate of the Contract Documents shall be furnished to the Contractor free of charge.
4.3 Supply
of Drawings by Superintending Officer
(a)
The Superintending Officer shall, in addition to
the duplicate of the Contract Documents referred in Clause 4.2, provide fre of
charge to the Contractor:
(ii) two
copies of the Specifications and unpriced Schedule of Works of Bills of
Quantites (whichever is applicable).
(b)
The Contractor may obtain from the Superintending
Officer at his own cost any further copies of the said documents required by
him.
4.4 Supply
of Drawings by the Contractor
(a)
Unless otherwise prescribed elsewhere in the
Contract Documents, the Contractor shall suppy to the Superintending Officer
six (6) copies of all drawings (other than as-built drawings under Clause 4.10)
including shop drawings detailing any works, specifications and other documents
prepared and submitted by the Contractor and accepted by the Superintending
Officer.
(b)
The Contractor shall supply at the Employers cost
any further copies of such drawings, specifications and other documents as the
Superintending Officer may request in writing.
4.5 Drawings
to be Kept on Site
One copy of the Drawings and Specification provided to the Contractor under Clause 4.3 and one copy of the drawings and specifications supplied by the Contractor under Clause 4.4, shall be kept on Site by the Contractor and the same shall at all reasonable times be available for inspection and use by the Superintending Officer and by any other person authorised by the Superintending Officer in writing.
4.6 Need
for Further Drawings
(a)
The Contractor shall give adequate notice in
writing to the Superintending Officer:.
(ii) of
any drawing, specification instruction or other information which is required
by any time, whenever the planning or execution of the Works is likely to be
delayed or disrupted by its non-availability and whether or not the need for it
is shown on any programme accepted by the Superintending Officer under Clause
5.
(b)
The Superintending Officer shall on receipt of the
notice comply with its requirements, provided that it is given in sufficient
time for the Superintending Officer reasonably to prepare and issue the
drawings, specifications, or information required.
4.7 Supplementary Drawings and Instructions
The
Superintending Officer shall issue to the Contractor from time to time such
supplementary or revised drawings, specifications or instructions as may in his
opinion be necessary for the execution and completion of the Works. The Contractor shall carry out and be bound
by the same.
If:
(a)
The Contractor has duly given the notice pursuant
to Clause 4.6 and if the Superintending Officer shall not have complied with
any of its requirements; or
(b)
The Superintending Officer has not issued any
supplementary or revised drawing, specifications, or instruction as required by
Clause 4.7,
and if the progress or completion of the Works or any part of the Works has been materially affected by such failure on the part of the Superintending Officer then the Superintending Officer shall, subject to Clauses 32 and 42, certify any Loss and Expense which the Contractor has incurred and, subject to Clause 24, grant the contractor an extension of time.
4.9 Confidentiality and Limitation of Use
of Documents
(a)
The Contractor shall treat the Contract and
everything contained in the Contract as private and confidential. None of the Contract Documents mentioned in
Clause 4 shall be used by the Contractor for any purpose other than for the Contract. In particular, the Contractor shall not
divulge (unless otherwise required at law) any information, drawing or
photograph concerning the Works and shall not use the Works or the Site for the
purpose of advertisement except with the written consent of the Superintending
Officer and subject to such conditions as he amy prescribe.
(b)
Neither the Employer nor the Superintending
Officer, nor his authorised representatives shall divulge or use, except for
the purpose of the Contract, any of the rates in the Schedule of Rates or Bills
of Quantities (whichever is applicable).
4.10 As-built Drawings
Unless otherwise prescribed elsewhere in the Contract Documents the Contractor shall supply to the Employer without additional charge 6 copies of:
(a)
such drawings describing the Works or any section
of the Works as-built not later than 3 months from the Date of Practical
Completion of the Works (or the Date of Practical Completion in respect of the
relevant section of the Works, in the case of completion in sections); and
(b)
manual concerning the operations and maintenance of
the Works or any section of the Works, including any isntallation comprised in
the Works or section of the Works nor later than the Date of Practical
Completion of the Works (or the Date of Practical Completion in respect of the
relevant section of the Works, in the case of completion in sections).
6.1 Employers General Responsibities
(a)
The Employer shall give the Contractor right of
access ot and possession of the Site in accordance with Clause 17.2.
(b)
Before the Date of Commencement, the Employer shall
obtain development or planning approvals, building plan and such other
necessary approvals from the relevant authorities with regards to the Works.
(c)
The Employer shall not obstruct or interfere with
the performance of the Contract by the Contractor, except where expressly
provided in the Contract.
(d)
The Employer shall not obstruct or interfere with
the performance of the Contract by the Contractor, except where expressly
provided in the Contract.
(e)
The Employer shall not interfere with or influence
or obstruct the issue of any certificate by the Superintending Officer under
the Contract.
(f)
In the event of the death of the Superintending
Officer or his ceasing to be the Superintending Officer for the purpose of the
Contract, the Employer shall within 30 Days niminate and appoint such other
person as a succeding Superintending Officer for that purpose.
7.1 Contractors General Responsibilities
(a)
The Contractor shall, with due care and diligence,
design (to the extent required by the Contract), execute and complete the Works
and remedy Defects to the satisfaction of the Superintending Officer in
accordance with the provisions of the Contract.
(b)
The Contractor shall provide all supervision,
labour, Construction Plant, Equipment, materials, goods and all other things,
whether of a temporary or permanent nature required in and for such design (to
the extent required by the Contract), execution and completion of the Works and
remedying of Defects.
7.4 Responsibility for Identifying the
Discrepancy
(a)
If the Contractor shall find any ambiguity,
discrepancy, conflict, inconsistency, error or omission (hereinafter referred
to as the Discrepancy) in or between any of the Contract documents he shall
forthwith notify the Superintending Officer of the same.
(b)
The Superintending Officer to resolve the
Discrepancy results in addition to and/or reduction from the Contract Sum, such
addition and/or reduction shall be deemed a Variation.
8.0 NOTICES
8.1 Serving of Notices
(e)
The Contractor not having received from the
Superintending Officer within a reasonable time necessary Drawings,
instructions or other information in regard to the Works for which notice has
been given by the Contractor in accordance with Clause 4.6 or the supplementary
or revised drawing, specifications, or instruction as required by Clause 4.7;
(f)
And instruction from the Superintending Officer to
resolve a Discrepancy in or between any of the Contract Documents pursuant to
Clause 7.4;
(g)
Compliance with Statutory Requirements for which
the Employer is responsible under Clause 10.1 or which results in a Variation
pursuant to Clause 10.2.
31.0 CLAIMS FOR LOSS AND EXPENSE
31.1 Reasons for Loss and Expense Claim
The Contractor shall be entitled to recover Loss and Expense sustained or incurred by him and for which he would not be reimbursed by any other provision of the Contract, howsoever arising as a result of the regular progress and/or completion of the Works of any section of the Works having been disrupted, prolonged or otherwose materially affected by any of the following event:
(a)
One or more of the Excepted Risks;
(b)
The Contractor not having received from the superintending
Officer within a reasonable time necessary Drawing, instructions or other
information in regard to the Works for which notice has been given by the
Contractor in accordance with Clause 4.6 or the supplementary or revised
drawing, specifications, or instruction as required by Clause 4.7;
(c)
An instruction from the Superintending Officer to
resolve a Discrepancy in or between any of the Contract Documents pursuant to
Clause 7.4.

1. TAKRIF DAN TAFSIRAN
(a) Dalam Kontrak ini (sebagaimana kemudian dari ini ditakrifkan) perkataan-perkataan dan ungkapan-ungkapan berikut hendaklah mempunyai erti sebagai- mana ditetapkan kepadanya kecuali jika konteksnya menghendaki makna yang lain:
(i) Kontrak atau Dokumen Kontrak ertinya dokumen-dokumen yang menjadi tender dan setujuterima tender itu termasuk:
- Perkara-Perkara Perjanjian
- Borang Tender
- Surat Setujuterima Tender
- Syarat-Syarat Kontrak dan Lampiran Tambahan
kepadanya
- Peruntukan-Peruntukan Khas kepada Syarat-
Syarat Kontrak untuk:

- Pelan-Pelan Kontrak
- Senarai Kuantiti
- Spesifikasi
- Arahan Perbendaharaan sebagaimana dinyatakan
dalam Lampiran kepada Syarat-Syarat Kontrak
(ii) Kerja ertinya kerja yang dinyatakan dalam Dokumen Kontrak dan termasuk semua atau mana-mana bahagian daripada kerja, bahan dan barang di mana jua ianya di kilang atau disediakan yang akan digunakan dalam melaksanakan Kontrak ini dan sama ada ianya berada di atas Tapak Bina itu atau tidak.
5. ARAHAN P.P.
(a) P.P. boleh, menurut budi bicaranya yang mutlak, dan dari semasa ke semasa, mengeluarkan pelan-pelan, butir-butir, dan/atau arahan-arahan bertulis selanjutnya (yang kesemuanya sekali kemudian dari ini disebut arahan P.P.) berkenaan dengan:
(i) perubahan sebagaimana disebutkan dalam Fasal 24 Syarat-Syarat ini;
(ii) apa-apa percanggahan dalam atau antara Dokumen-Dokumen Kontrak sebagaimana disebutkan dalam Fasal 8(b) Syarat-Syarat ini;
(iii) pengalihan dari Tapak Bina apa-apa bahan atau barang yang telah dibawa ke atasnya oleh Kontraktor dan penggantiannya dengan apa-apa bahan atau barang lain;
(iv) penghapusan dan/atau perlaksanaan semula apa-apa kerja yang telah dilaksanakan oleh Kontraktor;
(v) pembuangan kerja mana-mana orang daripada Kerja yang tersebut dalam Fasal 22 Syarat-Syarat ini yang telah diambil bekerja di situ;
(vi) pendedahan untuk diperiksa apa-apa kerja yang tertutup;
(vii) pemindaan dan pembaikan apa-apa jua kecacatan di bawah Fasal 45;
(viii) apa-apa perkara yang perlu dan bersampingan dengan perlaksanaan dan penyiapan Kerja di bawah Kontrak ini;
(ix) apa-apa perkara yang mengenainya P.P. diberi kuasa secara nyata oleh Kontrak ini untuk mengeluarkan arahan.
7. DOKUMEN KONTRAK
(a) Dokumen Kontrak yang tersebut di atas hendaklah terus berada dalam jagaan P.P. dan hendaklah dikemukakan sebagaimana dan apabila dikehendaki oleh Kontraktor.
(b) Sebaik sahaja Kontrak ini ditandatangani, P.P. hendaklah memberi dengan percuma kepada Kontaktor (melainkan jika dia telah diberi salinan itu dahulunya):
(i) satu salinan Dokumen-Dokumen Kontrak yang diperakui benar;
(ii) dua salinan Pelan-Pelan Kontrak; dan
(iii) dua salinan Senarai Kuantiti yang belum diletakkan harga dan (jika diminta oleh Kontraktor) satu salinan Senarai Kuantiti yang telah diletakkan harga.
(c) P.P. hendaklah, sebagaimana dan apabila perlu memberi dengan percuma kepada Kontraktor dua salinan pelan-pelan kerja atau butir-butir lanjutan sebagaimana munasabahnya perlu sama ada untuk menghuraikan dna menjelaskan maksud Pelan-Pelan Kontrak atau Spesifikasi (jika ada) atau untuk membolehkan Kontraktor membina dan menyiapkan Kerja mengikut Kontrak ini. Dengan syarat bahawa tiada apa jua yang terkandung dalam pelan kerja atau butir-butir tersebut itu boleh mengenakan apa-apa obligasi lebih daripada yang dikenakan oleh Dokumen Kontrak.
(d) Kontraktor hendaklah menyimpan satu salinan Pelan-Pelan Kontrak, Spesifikasi (jika ada), Senarai Kuantiti yang belum diletakkan harga dan dokumen-dokumen lain seperti yang disebut dalam subfasal (c) Syarat-Syarat ini di Tapak Bina dan P.P. hendaklah pada setiap masa yang munasabah mempunyai akses ke atasnya.
(e) Setelah pembayaran akhir dibuat atas Perakuan Muktamad di bawah Fasal 48 Syarat-Syarat ini, Kontraktor hendaklah, jika diminta berbuat demikian oleh P.P., dengan serta-merta mengembalikan kepada P.P. semua pelan, butir, spesifikasi. Senarai Kuantiti yang belum diletakkan harga dan dokumen-dokumen lain yang seumpamanya.
(f) Tiada satu pun dokumen yang disebut terdahulu dari ini boleh digunakan oleh Kontraktor bagi apa-apa maksud selain daripada Kontrak ini.
8. KECUKUPAN DOKUMEN KONTRAK
(a) Dokumen Kontrak adalah dikira sebagai saling jelas-menjelas antara satu sama lain. Kontraktor hendaklah mengadakan segala yang perlu untuk melaksanakan Kerja dengan sewajarnya sehinggalah siap mengikut tujuan dan maksud sebenar Dokumen Kontrak pada keseluruhannya sama ada atau tidak tujuan dan maksud itu ada ditunjuk atau diperihalkan secara khusus, dengan syarat bahawa tujuan dan maksud itu hendaklah difahamkan dengan munasabahnya dari Dokumen Kontraktor itu.
(b) Jika Kontraktor mendapati apa-apa percanggahan atau pemesongan antara mana-mana dua atau lebih daripada Dokumen Kontrak termasuk percanggahan atau pemesongan antara bahagian-bahagian dalam mana-mana satu daripada dokumen-dokumen itu, dia hendaklah dengan serta-merta memberi kepada P.P. satu notis bertulis menyatakan percanggahan atau pemesongan itu dan P.P. hendaklah mengeluarkan arahan-arahan yang berkenaan dengannya itu. Dengan syarat sentiasanya bahawa percanggahan atau pemesongan tersebut tidak akan membatalkan Kontrak ini.
24. PERUBAHAN
(a) P.P. boleh menurut budi bicaranya yang mutlak mengeluarkan arahan-arahan yang berkehendakkan sesuatu perubahan dan dia boleh memberi pengesahan secara bertulis menurut Fasal 5 (c) Syarat-Syarat ini mengenai apa-apa arahan lisan yang berkehendakkan sesuatu perubahan kepada Kerja. Tiada apa-apa perubahan yang dikehendaki oleh P.P. atau yang disahkan kemudiannya oleh P.P. boleh membatalkan Kontrak ini.
(b) Istilah perubahan ertinya perubahan atau ubahsuaian tentang rekabentuk, kualiti atau kuantiti Kerja sebagaimana ditunjukkan dalam Pelan-Pelan Kontrak, Senarai Kuantiti dan/atau Spesifikasi, dan termasuklah tambahan, peninggalan atau penggantian apa-apa kerja. Perubahan tentang jenis atau piawaian apa-apa bahan atau barang-barang yang hendak digunakan dalam Kerja itu dan pengalihan dari Tapak Bina itu apa-apa kerja , bahan atau barang-barang yang dilaksanakan atau dibawah ke atasnya oleh Kontraktor bagi maksud Kerja itu selain dari kerja, bahan atau barang-barang yang tidak mematuhi Kontrak ini.

WHEREAS
the Contractor has supplied the Employer with a fully priced copy of the said
Bills of Quantities (which copy is hereinafter referred to as the Contract
Bills) AND WHEREAS the said Drawings numbered

(hereinafter referred to as the Contract Drawings) and the Contract Bills have
been signed by or on behalf of the parties hereto.
Now it is hereby agreed
as follows:
Article 1
For the consideration
hereinafter mentioned the Contractor will upon and subject to the Contract
Documents carry out and complete the Works shown upon and described by or
referred to in those Documents.
Article 7
Works means the Works
referred to in the Articles of Agreement and is the whole of the materials,
labour, plant and other things necessary and requisine for the proper execution
of the Contract as shown on the Contract Drawings and described by or referred
to in the Contract Bills and the Conditions.
Contract or Contract
Documents means the Articles of Agreement.
Summary of Tender, Form of Tender, Letter of Acceptance, Conditions of
Contract, Contract Drawings, Specifications, Contract Bills and Appendices.
3.1 The Contract Drawings, Contract Bills, Specification, Summary of
Tender, Form of Tender, Leter of Acceptance, Articles of Agreement, Conditions
of Contract and the Appendices are referred to collectively as the Contract
Documents and shall remain in the custody of the Architect, the Engineer or the
Quantity Surveyor so as to be available at all reasonable times for inspection
by the Employer or the Contractor.
3.2 Immediately
after the execution of this Contract the Architect without charge to the Contractor
shall provide him (unless he had been previously to provided) with:
(i)
one copy certified on behalf of the employer of the
Contract Documents,
(ii)
two copies of the Contract Drawings,
(iii)
two copies of the unpriced Bills of Quantities and
(if requested by the contractor) one copy of the Contract Bills.
3.3 From time to time as may be necessary the Architect, without charge to the contractor, shall furnish him with two copies of further drawings or details as are reasonably necessary either to explain and amplify the Contract Drawings or to enable the Contractor to complete the Works in accordance with these Conditions. Provided always that the Contractor shall give adequate notice in writing to the Architect of his requirement of further drawings or details.
3.4 Within
fourteen (14) days upon issue of the Letter of Acceptance, the Contractor,
without charge to the Employer, shall provide the Architect with two copies of
the Works Programme for the execution of the Works.
3.5 The
Works Programme, whether required or not by the Conditions of Tender or the
Contract Documents, shall not constitute any part of and is not to be
incorporated into the Contract Documents.
3.6 The
submission to and approval by the Architect of such Works Programme shall not
relieve the Contractor of his obligations or responsibilities under the
Contract.
3.7 The
Contractor shall keep one copy of the Documents referred to in Clauses 3.2, 3.3
and 3.4 on the site so as to be available to the Architect and/or his
authorised representative at all reasonable times for his inspection and use.
3.8 Upon
final payment under Clause 30.7 of these Conditions, the Contractor shall, if
so requested by the Architect, forthwith return to him all Contract Documents
which bear the name of the Architect.
3.9 None
of the Contract Documents mentioned in Clause 3.1 shall be used by the
Contractor for any purpose other than this Contract. Neither the employer, the Architect, the Engineer nor the
Quantity Surveyor shall divulge or use, except for the purpose of this
Contract, any of the rates in the Contract Bills.
3.10 Within
three (3) months from the commencement of the Defects Lialibility Period, the
Contractor shall without further charge to the Employer supply for the
retention and use of the employer, two copies of such drawings and information
describing the Works as-built, and concerning the maintenance and operation of
the Works, including any installation comprised in the Works, as may be
required by the Contract Documents.
4.1 The
Contractor shall comply with and give all notices required by any written law
applicable to the territories of Malaysia in which the Works are carried out,
or any regulation or bye-law of any local authority or of any statutory
undertaker which has any jurisdiction with regard to the Works or with whose
systems the same are or will be connected.
4.2 The
Contractor before making any variation from the Contract Drawings or the
Contract Bills necessitated by such compliance shall give to the Architect a
written notice specifying and giving the reason for such variation and applying
for the Architects instructions in regard thereto.
11.1 The
term Variation as used in these Conditions means:
(i)
alteration or modification of the design, quality
or quantity of the Works as shown in the Contract Drawings and described by or
referred to in the Contract Bills.
(ii)
the addition, omission or substitution of any work.
(iii)
the alteration of the kind or standard of any
materials or goods to be used in the Works.
(iv)
the removal from the site of any work executed, or
materials or goods brought thereon by the Contractor for the purposes of the
Works other than work materials or goods which are not in accordance with this
Contract.
(v)
the addition, alteration, or omission of any
expressed obligation or restrictions imposed by the Employer under the
Conditions of Contract with regards to any limitation of working hours, working
space, or access to or utilisation of any specific part of the site or the
execution and completion of the work in any specific order.
(vi)
for the avoidance of doubt the term Variation
shall include any changes as aforesaid which may be designed to alter the
ultimate use to which the Works will be put or changes in the obligations
and/or restrictions which may be imposed on the Contractors methods of
working, but shall exclude any instruction which has arisen due or is
necessitated by or is intended to cure any default of and/or breach of contract
by the Contractor.
11.2 The
Architect may issue instructions requiring a Variation and he may sanction in
writing any Variation made by the Contractor otherwise than pursuant to an
instruction of the Architect. No
Variation required by the Architect of subsequently sanctioned by him shall
vitiate this Contract.
11.3 The
Architect shall issue instructions in regard to:
(i) the
expenditure of prime cost (P.C.) and provisional sums included in the Contract
Bills and of prime cost sums arising out of instructions issued in regard to
the expenditure of provisional sums.
(ii)
the expenditure of provisional sums included in a
sub-contract.
11.4 All
Variation required by the Architect of subsequently sanctioned by him in
writing and all work executed by the Contractor following instructions of the
Architects as to the expenditure of Provisional sums included in the Contract
Bills shall be measured and valued by the Architect or the Quantity surveyor as
instructed by the Architect. The
Contractor shall be given the opportunity to be present at the time of such
measurement and may take such notes and measurements as he may require.
